Welcome to Englishia. These Terms & Conditions (“Terms”) are a legally binding agreement between you and Englishia LLC (“Englishia,” “we,” “us,” or “our”) governing your access to and use of englishiastudio.com and our related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use the Service.

Definitions

  • “Service” means englishiastudio.com, our web application, and any related services we offer.
  • “Student” means a user who books classes through the Service.
  • “Tutor” means an independent tutor who offers classes through the Service.
  • “Class” means a live one-on-one or group English lesson booked through the Service.
  • “English Cafe” means the group conversation, movie-night, and vocabulary-sharing sessions available to subscribers.
  • “Content” means any text, message, file, or other material submitted through the Service.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By registering, you represent that the information you provide is accurate and that you’ll keep it up to date.

Your account

You’re responsible for protecting access to your email, phone, linked social accounts, and one-time verification codes. Notify us immediately at support@englishiastudio.com if you suspect unauthorized use. We may suspend or terminate accounts that provide false information or that are shared between multiple people.

Englishia is a marketplace, not a tutor

Englishia provides a platform that connects Students with independent Tutors. We don’t employ Tutors, and Tutors don’t employ Englishia. Tutors are solely responsible for the content, quality, and conduct of the classes they deliver. While we review tutor applications, we don’t guarantee any Tutor’s credentials, teaching ability, or any particular learning outcome.

Bookings, scheduling, and cancellations

Classes are booked through your dashboard based on Tutor availability. You may reschedule or cancel a class free of charge up until its scheduled start time. Cancellations after that time, and no-shows, may be counted against your plan’s included classes at Englishia’s discretion. If a Tutor cancels with insufficient notice, the class will be credited back to your plan or refunded, as applicable.

Subscription plans and à la carte classes

Englishia offers monthly subscription plans (currently Café, Professional, and Immersion) that include a set number of individual and group classes, and à la carte classes billed per booking for Students without a subscription. Current pricing is shown at englishiastudio.com/pricing and may change as described in “Changes to these Terms” below.

Billing, renewal, and taxes

Subscriptions renew automatically each billing period at the then-current price until you cancel. You can cancel anytime from your dashboard; cancellation takes effect at the end of the current billing period, and we don’t issue partial-period refunds. À la carte classes are charged at the time of booking. All payments are processed securely by Stripe, Inc. — Englishia doesn’t store your full payment card details. Prices are shown exclusive of applicable taxes unless stated otherwise, and you’re responsible for any taxes on your purchase.

Refunds

Because a booking reserves a Tutor’s time, purchases are generally non-refundable once a class has taken place. Included classes that go unused within a billing period don’t roll over or carry a cash value, except where required by law. If a class wasn’t delivered as booked — for example, a Tutor no-show — contact support@englishiastudio.com within 7 days and we’ll credit or refund that class at our discretion.

English Cafe and group sessions

Subscribers get access to English Cafe group sessions, movie nights, and vocabulary sharing as described on the Service. These are shared spaces — treat other participants with respect and follow the Acceptable Use rules below. We may record group sessions for quality and safety purposes and will let you know before doing so.

Acceptable use

You agree not to:

  • Harass, discriminate against, or abuse other users.
  • Share contact or payment details with another user to book or pay for classes outside the Service.
  • Impersonate any person or misrepresent your affiliation with any person or entity.
  • Upload unlawful, infringing, or harmful Content.
  • Use the Service to complete academic assignments on another person’s behalf or otherwise facilitate academic dishonesty.
  • Attempt to access another user’s account or any non-public part of the Service.
  • Reverse-engineer, scrape, or use automated means to access the Service.

We may remove Content or suspend accounts that violate this section.

Tutor-specific terms

If you register as a Tutor, you additionally agree that:

  • You’ll provide accurate information about your qualifications and background.
  • You’re an independent contractor, not an employee, agent, or partner of Englishia.
  • You’re solely responsible for your own tax obligations on amounts you earn through the Service.
  • You’ll deliver booked classes as scheduled or give reasonable notice of cancellation.
  • Englishia may set and change the fee or commission structure that applies to Tutor payouts, with advance notice of any change.

Content and intellectual property

You retain ownership of Content you submit, and grant Englishia a worldwide, royalty-free license to host, display, and distribute it as needed to operate the Service — for example, showing your Tutor profile or Cafe messages to other users. Englishia owns the Service itself, including its software, design, trademarks, and course materials, and nothing in these Terms transfers that ownership to you. You may not copy, resell, or create derivative works from Englishia’s materials without our written permission.

Third-party services

The Service may link to or integrate with third-party services, such as our payment processor. We’re not responsible for the content, policies, or practices of third parties, and your use of them is subject to their own terms.

Disclaimers

THE SERVICE AND ALL CLASSES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGLISHIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY TUTOR’S TEACHING WILL MEET YOUR EXPECTATIONS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGLISHIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. ENGLISHIA’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ENGLISHIA IN THE 12 MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS APPLY EVEN IF A REMEDY FAILS ITS ESSENTIAL PURPOSE, EXCEPT WHERE PROHIBITED BY LAW.

Indemnification

You agree to indemnify and hold Englishia harmless from any claims, losses, or expenses, including reasonable legal fees, arising from your violation of these Terms, your Content, or your interactions with other users.

Suspension and termination

You may close your account at any time from your dashboard. We may suspend or terminate your account, with or without notice, if you violate these Terms, engage in fraudulent or harmful conduct, or if required by law. Provisions that by their nature should survive termination — including Content and Intellectual Property, Disclaimers, Limitation of Liability, and Dispute Resolution — will continue to apply.

Dispute resolution and arbitration

Please read this section carefully — it affects your legal rights. Except for disputes that qualify for small-claims court, you and Englishia agree to resolve any dispute arising from these Terms or the Service through binding, individual arbitration administered by the American Arbitration Association under its rules, seated in Tennessee, United States, rather than in court. You and Englishia each waive the right to a jury trial and to participate in a class action or class arbitration. You may opt out of this arbitration agreement by emailing legal@englishiastudio.com within 30 days of first accepting these Terms.

Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules, except where applicable consumer-protection law requires otherwise.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we’ll notify you by email or through a notice on the Service at least 30 days before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

General

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn’t a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and Englishia regarding the Service.
